Pre-conference Workshop: When Ownership is Held Within Generational Legacy Trusts: Best Practices for Supporting Multiple Generations of Family Business Owners, Leaders, and Governance Systems

Amy Wirtz

Amy will be leading a lively discussion and an educational case study that will examine best practices when a family enterprise is encased within one or more generational trusts. Amy believes that for such trusts to be sustainable, there is an intrinsic need for a governance system to be embedded within the generational trusts to align the trustees and beneficiaries. She will examine both the benefits and the complexity created when trusts own your family business and wealth. Topics that will be discussed include: How do you prepare the current generation of trustees, beneficiaries, and leaders of your wealth for success? What topics do the next generations need to traverse?

Navigating Your Family Enterprise When Generational Trusts Own It

Amy Wirtz & Alberto Brazzalotto

Families are often advised to transfer the ownership of assets into family trusts (for tax and estate planning reasons). Frequently, the families don't realize how this change in ownership (from individuals to trusts) impacts the decision-making, governance and family dynamics until a challenge surfaces. As a result, some trusts are highly effective, while others fail to achieve the owner's vision, thereby causing disruption. Fortunately, actions can be taken to support the success of family assets held in multi-generational trusts. In our time together, Amy and Alberto will lead an educational conversation on multi-generational trust ownership and how it impacts the family enterprise, including:
• common unanticipated consequences of trust ownership
• considerations when structuring multi-generational trusts
• careful trustee role design and selection
• NextGen education to become effective beneficial owners
• key questions for attorneys/advisors to build a shared understanding and optimize outcomes

How to Bring Your Public Company in Alignment with your Family Values – Mills, Brazil Case Study

Francisca Nacht & Babetta von Albertini (Moderator)

Mills is a Brazilian equipment rental company founded by Francisca’s grandfather in 1952. Her father Cristian Nacht was CEO then Chair for 49 years and built a market-leading company with a vibrant culture and sense for social responsibility, before ESG was a benchmark. In 1998 the first non-family CEO came onboard, and the family has since then led the business from the boardroom. In 2011, to seize the boom of the BRICS, the family took the company public. The IPO enabled a period of intense growth, followed by a meltdown of Brazil’s economy. In 2019, still in the aftermath of the crisis, Mills successfully merged with its largest competitor, taking the family’s shareholding from 36% post-IPO to 24% post-merger. Francisca today leads a control group composed of the Nacht family, a private equity fund and another family. The Nacht family, however, had a growing discomfort with the dilution of Mills’ culture, in conflict with their belief that leading with strong values benefits both the business and society. The Nacht family decided to try to implement change, despite the challenge of no longer fully owning the company. Francisca will candidly and concretely share the story of how they went about this – an intentional, gradual, and dynamic process involving family and non-family shareholders, the courage to speak up, the important task of installing the right team and adjusting management KPIs and incentives. Over the years since starting this new journey, Mills has successfully turned around both its business and its culture, proving the point that it is viable and strategically sound to drive both purpose AND profit. Today, Mills has all-time high financial results, is GPTW certified and ambitiously working towards both B Corp and SBTI certifications.

What Can Trusted Advisors Do to Help Facilitate Successful Inter-Generational Transitions?

Doug Macauley, Giulia Cipollini, & Drew Mason (Moderator)

Trusted advisors often work with families over decades. During this prolonged time, opportunities may arise when the client asks the trusted advisor their input on an inter-generational transfer, often with the lead-in: "what do other families do in this type of situation". A major challenge involves educating and granting appropriate control of major financial assets to the NextGen. Drew will lead a discussion with Doug and Giulia. They will each discuss an inter-generational case study and will share (i) what went well, (ii) what could have been done better, and (iii) the lessons learned.
